These Terms & Conditions ("Terms") govern access to and use of the ITGuy.pk Reseller Portal ("Portal", "Platform") operated by ITGuy.pk ("we", "us", "our", "the Company"). By submitting your onboarding application, completing KYC verification, or otherwise accessing the Portal, you ("Reseller", "you") agree to be bound by these Terms.
If you do not agree to these Terms, do not proceed with registration or use of the Portal.
We may update these Terms from time to time. Where a Reseller has previously accepted an earlier version, continued use of the Portal after a new version is published requires re-acceptance of the updated Terms, as prompted through the Portal.
3.1 You must be at least 18 years of age and legally authorized to operate a business in Pakistan (or your relevant jurisdiction) to register as a Reseller.
3.2 Registration requires submission of a valid CNIC (front and back) and shop/business address. ITGuy.pk reserves the right to verify, reject, or request additional documentation for any application at its sole discretion.
3.3 Your account remains in a pending/unverified state until admin approval. ITGuy.pk is not obligated to approve any application and may decline registration without providing a reason.
3.4 You are responsible for ensuring the accuracy of all information submitted. Providing false, misleading, or fraudulent KYC information is grounds for immediate account suspension or termination without refund.
3.5 You must promptly notify us of any change to your business details, ownership, or contact information.
4.1 You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.
4.2 You agree to use the Portal solely for the legitimate purchase and resale of genuine software License Keys to end customers, and not for any unlawful, fraudulent, or unauthorized purpose.
4.3 You may not share, sublicense, or transfer your Reseller account to any third party without our written consent.
4.4 You agree to resell Keys to end users at your own discretion but must not misrepresent the nature, source, or warranty terms of the Keys to your customers in a manner inconsistent with these Terms or the underlying software vendor's licensing terms.
5.1 Keys are made available under one of the following models, as indicated on the product listing:
5.2 ITGuy.pk does not guarantee the continued availability of any specific product, Key-sharing model, or pricing tier and may modify the catalog at any time.
5.3 Where a product page is not yet mapped to catalog content, the Portal will display a "not available" message rather than an error; this does not constitute a defect.
6.1 Purchases on the Portal are funded through your Wallet, which is topped up via manual bank transfer to ITGuy.pk's designated bank account(s), as shown in the Portal.
6.2 Wallet top-ups are credited only after admin verification of the bank transfer. ITGuy.pk is not responsible for delays caused by incorrect transfer details, bank processing times, or failure to provide proof of payment.
6.3 Where a credit limit is extended to your account, you agree to settle any outstanding balance within the timeframe communicated to you. Failure to do so may result in suspension of purchasing privileges and/or account restrictions.
6.4 Wallet balances are non-transferable to other Reseller accounts and, except as required by law or expressly agreed in writing, are non-refundable to bank accounts once credited, other than in cases of demonstrable ITGuy.pk error.
6.5 All prices displayed are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes applicable to your resale activity under Pakistani law.
7.1 Orders are fulfilled based on real-time Key availability. Where full fulfillment is not possible, the Portal may process a partial fulfillment, issuing the quantity available and reflecting the shortfall in your order history.
7.2 Subscription-based products renew, expire, or lapse according to the terms shown at the time of purchase. It is your responsibility to monitor your subscription status via the Portal or notifications sent to you.
7.3 Retail stock purchases are recorded against your account and Wallet balance at the time of order confirmation.
8.1 If a Key you receive is defective, already activated, or otherwise non-functional through no fault of your own, you may raise a Ticket through the Portal within the stated warranty period.
8.2 ITGuy.pk will investigate each Ticket in good faith and, where the issue is verified as a genuine Key defect not attributable to Reseller or end-user misuse, will issue a replacement Key or, at our discretion, a Wallet credit.
8.3 Replacement is not guaranteed where: the Key has already been activated by the Reseller or end customer in a manner inconsistent with vendor terms; the issue arises from misuse, resale outside these Terms, or fraud; or the Ticket is raised after the applicable window.
8.4 ITGuy.pk's sole liability for any Key defect is limited to replacement of the Key or an equivalent Wallet credit, as set out in Section 13 (Limitation of Liability).

Violation of this section may result in immediate suspension or termination of your account, forfeiture of Wallet balance, and, where applicable, referral to law enforcement.
10.1 All trademarks, logos, content, and materials on the Portal are the property of ITGuy.pk or its licensors. Nothing in these Terms grants you any right to use ITGuy.pk's branding except as necessary to operate as an authorized Reseller.
10.2 License Keys remain subject to the underlying software vendor's own End User License Agreement (EULA). ITGuy.pk acts as a distribution intermediary and does not alter or override vendor licensing terms.
11.1 We collect and store your CNIC, shop address, and related KYC information solely for identity verification, fraud prevention, and account administration purposes.
11.2 Your information will not be sold to third parties. It may be disclosed where required by law or to relevant payment/verification partners strictly for the purposes described above.
11.3 You are responsible for the accuracy of any personal data of your own end customers that you handle in the course of your resale business, and for your own compliance with applicable data protection obligations toward them.
12.1 Keys are provided on an "as-is" basis, sourced as genuine retail licenses from authorized channels. Beyond the replacement remedy in Section 8, ITGuy.pk makes no further warranty as to uninterrupted availability, specific end-use compatibility, or fitness for a particular purpose.
12.2 The Portal is provided "as available." We do not guarantee uninterrupted or error-free operation and are not liable for downtime, maintenance windows, or third-party service disruptions (e.g., hosting, banking, email delivery).
13.1 To the maximum extent permitted by law, ITGuy.pk's total liability to you arising out of or in connection with your use of the Portal, in aggregate, shall not exceed the value of the specific order or transaction giving rise to the claim.
13.2 ITGuy.pk shall not be liable for indirect, incidental, consequential, or lost-profit damages arising from your resale business, including losses incurred with your own end customers.
14.1 We may suspend or terminate your account, with or without notice, for breach of these Terms, suspected fraud, regulatory concerns, or extended inactivity.
14.2 You may request closure of your account at any time; any remaining Wallet balance will be handled per Section 6.4.
14.3 Sections relating to Intellectual Property, Limitation of Liability, Data Privacy, and Governing Law survive termination of your account.
We may revise these Terms periodically to reflect changes in our services, legal requirements, or business practices. Material changes will require you to re-accept the updated Terms before continuing to place orders on the Portal. The version and effective date of the Terms currently in force will always be shown in the Portal.
These Terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan, unless otherwise required by applicable law.
